Who you're contracting with.
Crownix® Sentinel is a trading name of Crownix Holdings Ltd, a company registered in England and Wales under company number 16985396. References to "we", "us", or "Sentinel" mean Crownix Holdings Ltd trading as Crownix® Sentinel.
What Sentinel is — and isn't.
Sentinel is a compliance operations service. We monitor deadlines, ingest documents, coordinate filings, and run a monthly position review for UK businesses.
We are not:
- A regulated accountancy firm. We don't file your tax returns or sign your statutory accounts. Your accountant does that.
- A regulated legal services provider. We don't give legal advice or draft binding contracts. Your solicitor does that.
- A regulated financial advisor. Nothing on this website or in our communications is financial advice.
Sentinel sits between your accountant and your solicitor. The work is operational, not advisory. Where a matter requires regulated advice, we will tell you and refer you back to the appropriate regulated provider.
Engagement.
A formal engagement begins only once we have countersigned an engagement letter with you. The engagement letter sets out scope, fees, term, deliverables, and any sector-specific obligations. It governs the relationship and prevails over these terms wherever there is a conflict.
Engagements are continuous, not contracted. Either party may stand the engagement down at any month boundary with 30 days' written notice unless the engagement letter says otherwise.
Fees.
Fees are set out in your engagement letter. Invoices are issued monthly in advance, payable within 14 days. Late payment may accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998.
Your responsibilities.
To do our job we need you to:
- Provide complete, accurate, and timely information when we request it.
- Grant access to the systems, accounts, and advisors necessary to coordinate filings.
- Inform us promptly of material changes to your business — directors, shareholders, registered office, regulated activities, key contracts.
- Pay invoices on time.
Sentinel relies on the information you provide. If information is withheld, late, or incorrect, we cannot be responsible for consequences that flow from that.
Liability.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded by law.
Subject to the above, our total liability to you for all claims arising out of or in connection with the engagement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, is capped at the fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
We are not liable for indirect, consequential, or pure economic loss; loss of profit, revenue, business opportunity, or anticipated savings; or any liability arising from regulated advice that should have been sought from your accountant, solicitor, or other regulated provider.
Confidentiality.
Each party agrees to keep the other's confidential information confidential and use it only for the purposes of the engagement. This obligation survives termination indefinitely.
Intellectual property.
All content on this website — copy, logos, marks, design system, documentation templates, monitoring frameworks, and the Crownix® Sentinel name — is the property of Crownix Holdings Ltd or its licensors. Crownix® is a registered UK trademark.
You may not copy, republish, or use any of it commercially without written permission. Personal, non-commercial viewing is fine.
Documents and reports we produce specifically for you during an engagement become yours on payment of the relevant invoice. The underlying methodology, templates, and systems remain ours.
Website use.
You agree not to:
- Use the website for any unlawful purpose.
- Attempt to probe, scan, or compromise its security.
- Scrape it for the purpose of training competing services.
- Misrepresent any affiliation with Sentinel or Crownix Holdings Ltd.
The website is provided "as is". We make no warranty that it will be uninterrupted or error-free, though we operate it with the same discipline we sell.
Governing law.
These terms and any engagement are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute.
